Theranos, Inc.

Theranos, Inc. was a blood-testing company that claimed its Edison device could perform hundreds of clinical assays on a small fingerstick sample. Between 2013 and 2016, the company offered retail testing through Walgreens locations while raising more than $700 million from investors, according to SEC complaint allegations. The Ninth Circuit's 2025 amended opinion, affirming criminal convictions on appeal, noted that only twelve assays were ever run on Edison at scale, with remaining patient tests processed on modified or unmodified third-party analyzers, and that CMS inspection identified condition-level deficiencies constituting immediate jeopardy to patient health.

The adjudicative record contains multiple legally distinct outcomes that a summary of the case cannot compress without error. Elizabeth Holmes was convicted of investor-fraud conspiracy and three substantive wire-fraud counts while being acquitted on patient-fraud charges; Ramesh Balwani, tried separately, was convicted on all counts including patient-fraud conspiracy. Holmes settled parallel SEC civil charges without admitting or denying the complaint's allegations. As of mid-2026, a certiorari petition by Balwani remained pending before the Supreme Court, making the appellate record final for Holmes but still open for her co-defendant.

Key distinctions

  • "Theranos test" is not one technological object. Patient samples were processed on Theranos-developed Edison devices, modified third-party commercial analyzers, and unmodified third-party analyzers. The miniLab was a separate development-stage system.
  • "Fingerstick testing" does not imply "tested on a Theranos proprietary analyzer." A fingerstick sample could be collected in a Theranos nanotainer and then run on an Edison or modified third-party machine.
  • A published testing menu is not a device-capability list. Theranos advertised/offered a broad test menu, while the Ninth Circuit record says only twelve assays were ever run on the Edison.
  • FDA clearance of one assay is not FDA validation of the whole platform. FDA's K143236 record shows a Theranos HSV-1 IgG assay received a 510(k) substantially-equivalent decision; it does not establish that the Edison could accurately perform the entire advertised menu.
  • SEC complaint ≠ SEC adjudicated merits finding. Holmes and Theranos settled SEC charges without admitting or denying the allegations.
  • Criminal indictment ≠ conviction.
  • Holmes verdict ≠ Balwani verdict. The two defendants were tried separately and juries reached materially different patient-fraud outcomes.
  • Acquittal ≠ affirmative factual finding that patient tests were accurate or that no patient was harmed.
  • CMS regulatory "immediate jeopardy" finding ≠ criminal fraud verdict.
  • Sentencing narrative / government characterization of trial evidence ≠ jury finding on every described event.
  • Court-hosted trial exhibit ≠ judicial finding. A Theranos document remains a Theranos-authored document even when preserved on cand.uscourts.gov.
